Service Agreements and Scope

Each project begins with a detailed scope of work outlining:

Client Responsibilities

Clients agree to:

• Provide accurate and complete project information
• Supply necessary materials, access, and credentials in a timely manner
• Respond to communications and requests within agreed timeframes
• Review and approve deliverables according to project schedules
• Ensure compliance with platform policies and legal requirements
• Maintain confidentiality of proprietary methods and strategies

Payment Terms, Pricing, and Offers

• Advance Payment: Payment is required in advance or according to agreed milestone schedules. By placing an order, the Client acknowledges that payment will be collected before work commences.
• No-Refund Policy: All fees are strictly non-refundable once payment is processed except where required by law or specifically stated in our Refund Policy.
• Transaction Currency: All transactions are processed primarily in United States Dollars (USD). The definitive final transaction currency and total will be clearly shown to the cardholder immediately before payment instructions are completed.
• Pricing and Taxes: Displayed prices on the website are exclusive of local regional transaction taxes or duties unless otherwise specified. Any applicable taxes will be itemized and disclosed before final checkout confirmation.
• Offer Validity: Any quotation, proposal, promotional offer, or displayed pricing remains valid only for exactly 30 days from issuance or for the period explicitly stated on the relevant offer page.
• Late payments may result in project suspension or termination. Additional work beyond the agreed scope will incur extra charges. Currency exchange rates and payment processing fees dictated by your issuing bank may apply.

Digital Delivery & Fulfillment Policy

Because our offerings consist entirely of digital AI builds, software setups, configuration assets, and online consultations, no physical shipping logistics apply.

• Deliverables are transferred digitally via secure file transfer, secure code repository access, or direct cloud platform deployment.
• Timelines and specific delivery dates vary by build size and are definitively detailed within your individual Scope of Work.

Export Restrictions

Clients are responsible for ensuring that any products, services, software, or deliverables provided under these Terms may legally be used, accessed, imported, or exported in their jurisdiction. We reserve the right to restrict services or withhold deliverables where international legal, regulatory, or trade sanctions requirements apply.

Intellectual Property Rights

Client-Owned Materials

Clients retain ownership of:

• Original brand assets, logos, and content provided
• Business data, customer information, and proprietary systems
• Final deliverables upon full payment completion

AIGency-Owned Materials

AIGency retains ownership of:

• Proprietary methodologies, processes, and frameworks
• Template designs, code libraries, and development tools
• AI configurations and optimization strategies
• Training materials and educational content

Confidentiality and Non-Disclosure

Both parties agree to:

• Maintain strict confidentiality of sensitive business information
• Protect client data, financial information, and strategic plans
• Use confidential information solely for project completion
• Return or destroy confidential materials upon project completion

Project Timelines and Deliverables

• Timelines are estimates based on scope and client responsiveness
• Delays caused by client non-response may extend project timelines
• Rush delivery requests may incur additional fees
• Force majeure events may impact delivery schedules

Revisions and Modifications

• Each project includes a specified number of revision rounds
• Additional revisions beyond the agreed limit incur extra charges
• Scope changes require written approval and may affect timelines
• Major modifications may be treated as separate projects

Limitation of Liability

AIGency's liability is limited to:

• The total amount paid for the specific project in question
• Direct damages only, excluding consequential or indirect losses
• Claims must be made within 30 days of project completion
• Third-party platform limitations and restrictions apply

Termination Conditions

Either party may terminate services under the following conditions:

• Material breach of contract terms
• Non-payment or consistent late payments
• Failure to provide necessary project materials or access
• Written notice with appropriate termination period

Compliance, Privacy, and Cookies

• Data Controller: Aigency Online Services Limited acts as the sole Data Controller for user data handled on this platform.
• Regulatory Compliance: Our processing of personal metrics, client files, and tracking tools is strictly governed by the Mauritius Data Protection Act 2017 (DPA).
• Legal processing bases, user data rights, and tracking parameters are cross-linked and detailed uniformly within our Privacy Policy and aligned Cookie Policy.
• Refunds, returns (where applicable), and cancellations are governed directly by our Refund Policy.

Governing Law and Jurisdiction

These Terms are governed by the laws of Mauritius. Any disputes will be resolved through:

• Mauritius jurisdiction and applicable commercial laws
• Mediation and arbitration procedures when appropriate
• The English language for all legal and formal proceedings

Force Majeure

Neither party shall be liable for delays or failures caused by circumstances beyond reasonable control, including natural disasters, government actions, internet outages, cybersecurity incidents, or technical infrastructure failures.

These Terms may be updated periodically. Continued engagement of services constitutes acceptance of updated terms. Material changes will be communicated in advance when possible.
